Welcome to MyFloridaLLC. These Terms of Service ("Terms") are an agreement between you and MyFloridaLLC ("MyFloridaLLC," "we," "us," or "our"), operated by Design Develop Now, Inc., regarding your use of our website and services (the "Services"). By creating an account, placing an order, or using the Services, you agree to these Terms. If you don't agree, please don't use the Services.
1. What we do
MyFloridaLLC helps you form a Florida limited liability company and provides business tools and services, including customer-management software, websites and hosting, lead capture and follow-up, call tracking, and related add-ons. We prepare and submit business formation documents to the Florida Division of Corporations on your behalf as a document-filing and business-services provider.
2. We are not a law firm
MyFloridaLLC is not a law firm and is not a substitute for the advice of an attorney. We do not provide legal, tax, or financial advice, and we do not practice law. 3. Your account and your information
You're responsible for the accuracy of the information you give us and for keeping your login secure. Because we file documents with the state based on what you provide, you agree that the information you submit is true, accurate, and yours to submit. You're responsible for activity under your account.
4. Fees, billing, and the state fee
You agree to pay the fees shown at checkout, including the one-time launch deposit and your selected monthly plan. State filing fees (such as the $125 Florida formation fee) are charged at cost and passed through to the appropriate government agency; these government fees are set by the state, are non-refundable once submitted, and are not controlled by us. Monthly plans renew automatically on your billing cycle until canceled. You can pay monthly, quarterly, or annually, and financing for annual plans is offered through a third-party provider subject to its own terms and approval. Payments are processed by a third-party payment processor; we don't store your full card details.
5. Government timelines
We submit filings promptly, but approval times, processing, and acceptance of any filing are controlled by the relevant government agency, not by MyFloridaLLC. We can't guarantee a specific approval date and aren't responsible for government delays, rejections for reasons outside our control, or changes in government fees or rules.
6. Third-party services
The Services may rely on or connect to third-party tools and platforms (for example, software, hosting, communications, and payment providers). Your use of those may be subject to their terms, and we're not responsible for third-party services we don't control.
7. Our content and yours
We own the MyFloridaLLC platform, software, designs, and content, and you may not copy or resell them. You own the content and information you provide; by using the Services, you grant us the rights needed to host, display, and process it to deliver the Services to you. Work product we create for you (such as branding or websites) is yours upon full payment, unless agreed otherwise in writing.
8. Acceptable use
Don't use the Services for anything unlawful, fraudulent, or that infringes others' rights, and don't try to disrupt or reverse-engineer the platform.
9. Cancellation and termination
You can cancel your plan any time from your dashboard. We may suspend or end your access if you violate these Terms or fail to pay. Refunds, where applicable, are governed by our Refund Policy.
10. Disclaimer of warranties
The Services are provided "as is" and "as available." To the fullest extent allowed by law, we disclaim all warranties not expressly stated, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Services will be uninterrupted or error-free.
11. Limitation of liability
To the fullest extent allowed by law, MyFloridaLLC won't be liable for indirect, incidental, special, or consequential damages, or for lost profits or data. Our total liability for any claim related to the Services is limited to the amount you paid us for the Services in the twelve months before the claim.
12. Indemnification
You agree to defend and hold us harmless from claims arising out of your information, your use of the Services, or your violation of these Terms or the law.
13. Governing law
These Terms are governed by the laws of the State of Florida. Any dispute will be handled in the state or federal courts located in Broward County, Florida, and you consent to that jurisdiction.
14. Changes
We may update these Terms. If we make material changes, we'll post the updated version with a new date and, where appropriate, notify you. Continuing to use the Services means you accept the changes.
